This document outlines the payment policy in effect by Elation Health, Inc. (“Elation”) for customers who enter into an Elation Service Agreement (“you”) and then provide authorization to users including physicians, physician assistants, nurse practitioners, and non-physician staff members (“your Authorized Users”). “Provider Users” means your Authorized Users consisting of physicians, physician assistants, nurse practitioners and other healthcare providers who are permitted to sign off on visit notes and orders.
Elation accepts three payment options:
- Annual payment by credit card. You will have the convenience of eliminating paperwork by paying by credit card for twelve months of service. Your credit card will be charged automatically at the beginning of each twelve-month period. Upon payment, a receipt will be emailed to you.
- Annual payment by check. You will have the convenience of eliminating paperwork by paying by check for twelve months of service. You will be invoiced at the beginning of each twelve-month period.
- Monthly payment by credit card. You will have the convenience of your credit card being automatically charged at the beginning of each month. Upon payment, a receipt will be emailed to you.
To enroll in the credit card payment program, you should contact your account representative or email Elation Customer Service at firstname.lastname@example.org. Elation accepts VISA, MasterCard, American Express, and Discover.
For annual payments, if new charges arise during the twelve-month period, you will be invoiced or your credit card will be charged, depending on the payment option you’ve selected.
Pricing and Prorated Fees
Subscription fees are charged on a monthly service period based on the number of Provider Users, and cover the Meaningful Use Certified EMR system portion of the Elation Health Service. The subscription fee for a Provider Account will remain unchanged during the term of your Elation Service Agreement so long as the Provider User account is not cancelled. Additional accounts for your Authorized Users who are staff and not Provider Users will be provided at no additional cost. For those Provider Users whose paid subscription to Elation begins after ninety (90) days from the Effective Date of your Elation Service Agreement, Elation reserves the right to charge the then-current subscription fee per Provider User. Please note that Elation will prorate fees as a result of Provider User accounts being added in the middle of a service period.
Implementation services and setup fees have been waived. Other applicable fees include one-time fees for customized migration of data such as data imports from existing EMR software. To the extent additional features are made available within the Elation Health Service under the Elation Service Agreement or provided as additional paid options beyond the Meaningful Use Certified EMR system, separate fees may be payable for such additional features.

If you are an existing customer, please contact your Elation account representative or consult your Elation Service Agreement for subscription pricing and other applicable fees. In the event of a conflict between the fees in this section “Pricing and Prorated Fees” and the fees expressly set forth in your Elation Service Agreement, then the fees of that agreement shall prevail.
Cancellation and Termination
To cancel the Account of a Provider User, you must notify Elation in writing at the time the Account should be cancelled. The Account will continue to be charged until the end of the service period during which Elation receives the Account cancellation request from you for the relevant Provider User.
At your request upon cancellation of all Provider User Accounts, Elation will provide you with an electronic copy of your patient data either in a PDF file that you can easily print to go back to paper charting, or in a format that can be imported into any other certified EMR system. Upon such cancellation, you may also request to obtain “read-only” anytime access to all of your records stored on the Elation Health Service. To help cover maintenance costs, Elation will charge a fee of $25/month or the then-current fee to continue to host and maintain your records for anytime access.
All fees are payable in U.S. Dollars by the payment options indicated in this Payment Policy. Elation reserves the right to charge processing fees depending on the means of payment, so long as you are notified of any such fees in advance. All invoices are due and payable in full within thirty (30) calendar days of the invoice receipt date. Late payments may be charged interest at the rate of one and one half percent (1.5%) per month (or the highest rate permitted by applicable law, if less). Fees are exclusive of taxes or other government charges. You are responsible for paying all applicable taxes and government charges, and all reasonable costs and expenses (including, without limitation, attorneys’ fees and costs) that Elation incurs collecting unpaid fees. All invoices are deemed valid unless you notify Elation in writing of any dispute within thirty (30) calendar days of the invoice receipt date, in which case you and Elation shall negotiate the resolution of such fee dispute in a timely and good faith manner.
This Payment Policy may be revised from time-to-time; provided however, that such revisions will not take effect until the end of your then-current service period (e.g., the end of the then-current month for monthly fees). You will be notified of any such changes that take effect, and the date in the upper right corner of this Payment Policy will be updated so that you can easily identify that there has been a change.
